STEP 3: We will send you information so that you can know the value of the company and make investment decisions.
STEP 4: If you want to invest in a proposed Startup, we will start the next step (2. Investment).

In case you have decided to invest in a Startup through Develseed, the procedure is as follows:
STEP 1: Write us an email to hello@develseed.com, communicating your investment decision.
STEP 2: We will proceed to sign a contract for each investee company between the Investor and Develseed, thus formalizing the investment intention and recording how the contributed capital will be used.
STEP 3: Once the contract is signed, a capital contribution will be made through a transfer to Develseed, adding the following amounts for each investment:
Contributed capital: The minimum investment is 500€, being able to invest in equal multiples without any maximum.
Commission: Management fees correspond to, 50€ for investments up to 2.500€, 100€ for investments between 3.000€ and 10.000€, and 200€ for investments from 10.500€.
STEP 4: The minimum investment by Develseed to the Startups is 5.000€ (unless otherwise agreed with any of them).
SCENARIO A: If this minimum amount (5.000€) is not reached during the agreed period of time, the amount corresponding to the contributed capital (STEP 3) will be returned to the investor by means of a transfer, thus cancelling the investment.
SCENARIO B: In case of equaling or exceeding this minimum amount (5.000€) during the agreed period of time, Develseed will sign an investment contract with the Startup (by means of a convertible note or direct investment in round).
STEP 5: Once the above contract is signed (SCENARIO B), Develseed will notify all Investors of the success and proceed to transfer the investment.
-
If you have made an investment with Develseed, there are three (non-exclusive) monitoring options:
- OPTION 1: Receive from Develseed quarterly information on the Startup invested.
- OPTION 2: Transfer to Develseed all those issues that may arise after the analysis so that Develseed can transmit them to the Startup.
- OPTION 3: In case of mutual agreement between all parties, the Investor may provide direct support in the previously agreed areas.
-
There are different exit scenarios for Develseed from the invested Startup (the Investor will not have the power to make an Exit individually):
FAVORABLE: In case of being favorable (acquisition/sale of the Startup, buyback of shares or IPO) Develseed would make a bank transfer, to each Investor, corresponding to the capital contributed plus the respective profits, subtracting Develseed's successful management fee. Thus, the amount would be composed of:
Contributed capital
(+) Profits: The return on investment (ROI) proportional to the amount invested.
(-) Carry fee: Corresponds to 20% of the Profits. This percentage will go to Develseed, as a success fee.
EQUAL or UNFAVORABLE: In case of being unfavorable (acquisition/sale of the Startup, repurchase of shares, closing of the Startup) Develseed could make a bank transfer to each Investor corresponding to the amount recovered, if any. This amount would be calculated proportionally according to the capital contributed by the Investor in relation to the total amount of the investment made by Develseed.
